1. Who We Are

“NorthGrants” (referred to in these Terms as “we,” “us,” or “our”) is an online service operated in British Columbia, Canada that helps Canadian small and medium-sized businesses identify government grant programs they may qualify for and prepare application materials.

By using our website at northgrants.ca (the “Service”), you (“you,” “your,” or the “User”) agree to these Terms of Service. If you do not agree, do not use the Service.

2. What the Service Does

NorthGrants provides three things:

(a) Free Grant Report. You submit information about your business through our intake form. We match your business against a database of Canadian federal, provincial, and municipal grant programs and email you a personalized report identifying programs you may qualify for.

(b) Pro Subscription (the “Pro Service”). For a monthly subscription fee of $39 CAD, you receive one (1) application framework document per month, plus ongoing matching against new programs added to our database (delivered as a monthly digest email). Each framework is tailored to a specific grant program you’ve selected and provides structure, language, and criteria alignment to support your application.

(c) Additional Application Frameworks (the “One-Time Service”). Whether or not you have an active subscription, you may purchase additional application framework documents at $39 CAD each. Each one is delivered as a single document with the same structure and quality as the framework included in the Pro Service.

3. What the Service Is NOT

This is the most important section. Read it carefully.

We are a facilitator, not a consultancy or law firm. We help you prepare application materials. We do not submit applications on your behalf, do not guarantee grant approval, and do not provide legal, accounting, or financial advice.

We do not guarantee:

• That programs identified in your report are still accepting applications at the time you apply
• That you will qualify for any program we identify
• That any application you submit will be approved
• That funding will be disbursed in any particular amount or timeframe

You are responsible for:

• Reviewing every program’s eligibility requirements on the program’s official website before applying
• Verifying deadlines, funding amounts, and intake status directly with the funding body
• The accuracy of all information you submit to grant programs
• Compliance with all program terms and conditions after funding is received
• Any tax, legal, or accounting implications of grants you receive

4. Eligibility

You must be at least 18 years old and authorized to represent the business you are submitting information about. By submitting our intake form, you represent that:

• You have the authority to provide information about the business
• The information you provide is true and accurate to the best of your knowledge
• You are using the Service for legitimate business purposes

5. Your Account and Data

You do not need to create an account to receive a free report. For the Pro Service, your email address serves as your account identifier. You agree to provide accurate contact information and keep it current.

6. Payment, Billing, and Subscription

Pro Subscription Pricing. The Pro Service is $39 CAD per month (pricing subject to change with 30 days’ notice to existing subscribers). Each subscription includes one application framework per month plus ongoing matching against newly added programs.

Additional Frameworks. Application frameworks beyond the one included in the monthly subscription, or frameworks purchased without an active subscription, are $39 CAD each as a one-time charge.

Billing. Subscriptions are billed monthly in advance through our payment processor (Stripe). By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. Additional framework purchases are charged once per purchase.

Cancellation. You may cancel your subscription at any time through the customer portal link in your account or by emailing support@northgrants.ca. Cancellation takes effect at the end of your current billing period. You will retain access to the Pro Service through the end of the paid period.

Unused Monthly Credits. Your monthly subscription includes one application framework per billing cycle. If you do not request a framework in a given month, the credit does not roll over and is not refundable.

Refunds. Refunds are governed by our Refund Policy.

Taxes. Prices do not include applicable GST, PST, or HST. Where required by law, applicable taxes will be added at checkout based on your province of business.

7. Acceptable Use

You agree not to:

• Submit false or misleading information about your business
• Submit the intake form on behalf of businesses you are not authorized to represent
• Use automated tools (bots, scrapers) to submit forms or access the Service
• Attempt to reverse-engineer, copy, or resell our grant database or application frameworks
• Use the Service for any illegal purpose or to apply for grants fraudulently
• Resell, redistribute, or publish application frameworks we produce for you without our written permission

We reserve the right to refuse service, terminate accounts, and delete submissions that violate these terms.

8. Intellectual Property

Our Content. The NorthGrants website, grant database, matching logic, report format, and application framework templates are our intellectual property. You receive a limited, non-transferable, non-exclusive right to use application frameworks we produce for you in connection with your own grant applications.

Your Content. Information you submit about your business remains yours. By submitting it, you grant us a limited license to use it to produce your report and frameworks, and to improve the Service (in anonymized and aggregated form only, see Privacy Policy).

Public Sources. Our grant database is compiled from publicly available government program information. We make no claim of ownership over the underlying government program details.

9. Third-Party Services and Links

Our reports and frameworks contain links to third-party government websites. We are not responsible for the content, accuracy, or availability of those sites. Interacting with those sites is governed by their own terms.

We use third-party service providers including Stripe (payments), Anthropic (AI processing of your inputs to produce reports and frameworks), and email infrastructure providers. Each is bound by their own terms and privacy practices.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or that information in your report is complete or current.

11. Limitation of Liability

To the maximum extent permitted by law:

• Our total liability to you for any claim arising out of or relating to the Service is limited to the amount you have paid us in the twelve (12) months before the claim arose. For free users, this amount is zero.
• We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost funding opportunities, or missed grant deadlines.
• We are not liable for any decision you make, or fail to make, based on information in your report or framework.

Some jurisdictions do not allow certain liability limitations; in those cases, liability is limited to the maximum extent permitted.

12. Indemnification

You agree to indemnify and hold us harmless from any claim, loss, or damage (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your submission of false or fraudulent information.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time for violation of these Terms or for any other reason, with or without notice.

Sections 3, 8, 10, 11, 12, and 15 survive termination.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email (for Pro subscribers) or posted on the site with an updated “Last Updated” date. Continued use after changes take effect constitutes acceptance.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any dispute arising out of or relating to these Terms or the Service shall be resolved in the courts of British Columbia, and you consent to the jurisdiction of those courts.
